Investment adviser disclosures & marketing governance

Form ADV & marketing governance.

An education-only companion for advisory-firm leaders who want disclosure ownership, marketing review, and retained evidence to stay aligned with how the firm actually operates.

The operating question

Disclosure explains the firm. Governance keeps the explanation current.

Applicable requirements and the analysis of appropriately authorized professionals control each communication. Operational governance helps a firm identify changes, route review, document evidence, and retain the record of the decision.

Eight working controls

Responsible marketing depends on visible evidence.

A program does not replace securities requirements or regulatory analysis. It helps design consistent paths to detect, elevate, document, and improve issues that require authorized evaluation.

01Inventory

Know what the firm is saying

A usable program begins with a current inventory of disclosure documents, websites, presentations, social posts, email campaigns, third-party profiles, referral activity, and other communications that may need review.

  • Communication inventory
  • Channel and audience map
  • Content owner assignment
  • Version and archive location
02Form ADV

Assign disclosure ownership

Form ADV governance is stronger when the firm connects its public and regulatory disclosures to accountable business owners who can identify operational changes, provide underlying information, and route questions for authorized review.

  • Part and item ownership
  • Source-data map
  • Annual-update calendar
  • Material-change escalation
03Form CRS

Treat the relationship summary as a live record

For advisers subject to Form CRS, relationship-summary governance benefits from a defined process for changes in retail-facing information, delivery questions, revision tracking, and coordination with agreements and other disclosures.

  • Retail-audience assessment
  • Change-tracking process
  • Delivery responsibility
  • Revision and highlight record
04Substantiation

Connect claims to evidence

Marketing review should ask who owns each material factual claim, what evidence supports it, how long the support remains current, and who must review the communication if facts, limitations, or audience change.

  • Claim-and-evidence file
  • Date and source controls
  • Risk and limitation prompts
  • Approval decision record
05Endorsements

Govern relationships behind the message

Testimonials, endorsements, third-party ratings, and referral relationships call for clear intake, compensation, conflict, documentation, and escalation questions before a message moves into public use.

  • Source and relationship intake
  • Compensation and conflict prompts
  • Required-disclosure review
  • Status and agreement records
06Performance

Make presentation review deliberate

Performance communications need a repeatable path for identifying the audience, calculation support, time periods, gross/net treatment, risk or limitation context, and required authorized review before dissemination.

  • Performance-source record
  • Methodology and period check
  • Gross/net presentation prompts
  • Audience and approval gate
07Supervision

Coordinate content, compliance, and business

A policy works in practice when marketing, advisory, operations, compliance, leadership, and outside specialists understand their roles, use a clear escalation path, and can show how approvals were reached.

  • Role and authority map
  • Escalation thresholds
  • Training and refreshes
  • Vendor and agency instructions
08Evidence

Retain the record that supports the decision

Record governance should connect the approved communication to its supporting materials, review record, dissemination information, updates, and any later remediation or program-learning work that may be relevant.

  • Approved-copy archive
  • Support and calculation file
  • Dissemination record
  • Testing and remediation trail

Communication lifecycle

Map, review, retain, and learn.

Process intensity should fit the firm’s channel, audience, content, relationship, compensation, data, and risks. This lifecycle is an educational tool, not a regulatory protocol.

  1. A

    Map the communication

Identify the channel, audience, purpose, product or service context, claims, contributors, incentives, data sources, and related disclosures before review becomes a last-minute approval exercise.

  2. B

    Review and authorize

Route the item through the firm’s defined owners and authorized reviewers. Capture the material support, limitations, changes requested, decision, and conditions for use in a durable record.

  3. C

    Disseminate and retain

Preserve the final version, support, delivery or dissemination context, and any applicable relationship or compensation materials in the firm’s designated record system.

  4. D

    Monitor and learn

Use testing, business changes, new channels, feedback, regulatory developments, and exceptions to update ownership, training, escalation routes, and review priorities.

Program test

Make the control questions visible.

A governance review does not determine whether an advertisement complies. It helps leaders see whether a firm’s routes, responsibilities, systems, and evidence support responsible evaluation when it is needed.

A useful system does not promise a marketing approval. It clarifies what should be reviewed, who is accountable, and what evidence must be retained.
  1. 01

Can the firm identify every current disclosure and marketing channel, the owner, audience, and final approved version?

  2. 02

Does each material factual claim have a current, retrievable source and a clear owner for reassessment?

  3. 03

Can the firm connect Form ADV, Form CRS where applicable, agreements, websites, and public messaging to the same operating facts?

  4. 04

Do testimonials, endorsements, ratings, referral arrangements, and vendors have a documented intake and escalation path?

  5. 05

Can a reviewer locate the methodology, support, approval record, and dissemination context for a performance communication?

  6. 06

Does leadership receive decision-useful information about marketing exceptions, late changes, training needs, testing results, and remediation?

Frequently asked questions

Guidance begins with the right question.

These answers are educational. They do not replace advice from appropriately authorized professionals or a review of the requirements and facts of a specific situation.

01What is Form ADV governance?

It is an operating approach to make disclosure ownership, source information, changes, approvals, delivery, and retained evidence visible. It does not replace a firm’s obligations under Form ADV or the judgment of appropriately authorized professionals.

02When must Form ADV be updated?

The SEC’s Form ADV instructions describe annual updating amendments and additional amendment triggers. Timing and required content depend on registration status, the part of the form, the information at issue, and whether it has become inaccurate or materially inaccurate.

03Is Form CRS the same as Form ADV Part 2A?

No. Form CRS is Form ADV Part 3 and is a relationship summary for retail investors when applicable. Part 2A is the narrative brochure. Each has its own content, filing, delivery, and update framework.

04Does every communication count as an advertisement?

The marketing rule defines advertisement and contains exclusions and two prongs. Whether a particular communication falls within the rule depends on the communication, compensation, audience, purpose, applicable rule text, and facts. This page does not make that determination.

05Can an adviser use a client testimonial or endorsement?

Rule 206(4)-1 permits testimonials and endorsements subject to conditions and exemptions. The current rule addresses disclosures, oversight and compliance, written agreements in specified circumstances, and disqualification. Applicability requires authorized review of the particular arrangement and message.

06What makes performance marketing governance different?

Performance communications often require a traceable connection among the communication, calculation support, methodology, time period, fee treatment, audience, risks or limitations, approval, and retention. The applicable rule and SEC guidance should be evaluated by authorized professionals for the specific use.

07What is a marketing governance review?

It is an education- and operations-oriented review of content inventory, role ownership, claims support, disclosures, approval routes, vendor coordination, training, records, and improvement. It is not an advertisement approval, securities-law opinion, Form ADV filing service, or regulatory compliance determination.

Next step

Make responsible disclosure an operating habit.

Start by making the communications inventory, owners, evidence, review points, escalation routes, and record expectations visible. Then test those elements against the firm’s actual channels, relationships, and changes.
